Software Development Agreement | 2024

This Document is ready-for-use Agreement to be used whereby an IT provider agrees to supply, develop and install software and to license the intellectual property rights in it upon payment. It is drafted in a modern cover page format to an easy use. The following features are included:

• A Customer pays the Service Provider’s at the specified rates for each position for the development services, however the Annex to the document can be easily customized to reflect a fixed fee, regular payments or other structure.

• It includes other features as data protection, data security breach, restoration of lost or corrupted data, ownership of data, provisions relating to international technology export control.

A Document includes 12 pages with 2 Exhibits.

Assumptions

• There is a single software IT service provider and a single customer and both parties are business entities. The parties must make adjustments if:

  • either contracting party is an individual; or

  • there are additional parties to the agreement.

• The agreement is drafted in a neutral language and have been used in the US or the UK jurisdictions, as well as in an international context. If either party is organized or operates in, or the software will be used in, a foreign jurisdiction, the parties may need to modify the agreement to comply with applicable laws in the relevant foreign jurisdiction. Agreement is governed by laws of Delaware.

• The documents are delivered in Microsoft Word format (.docx), allowing for easy customization and immediate implementation.
